1. Acceptance
Using the Service means you have read, understood, and accepted these terms. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms, and “you” means the organisation.
2. Account
You are responsible for keeping account credentials confidential and for every action taken through your account. You must notify us immediately at [email protected] if you suspect unauthorised access. Account sharing is not permitted; every person who uses the Service needs their own account.
3. Licence to use the Service
Subject to these terms, KSKILL grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. This licence does not permit reselling, sublicensing, or reverse engineering the Service, and does not transfer any intellectual-property rights.
4. Subscription and payment
Access to paid features requires an active subscription or pay-as-you-go purchase. Fees, currency, and billing cadence are displayed at the point of purchase. Unless the order form says otherwise:
- fees are quoted in Malaysian Ringgit (MYR) and are exclusive of any applicable taxes,
- subscriptions renew automatically for successive terms of the same length,
- invoices are due on issue,
- failure to pay within 14 days of the due date entitles KSKILL to suspend the account.
5. Learner content and intellectual property
You retain ownership of every course, assessment, upload, message, and recording you or your users create on the Service (“Customer Content”). You grant KSKILL a worldwide, royalty-free licence to host, store, process, transmit, and display Customer Content solely to the extent required to operate the Service for you. That licence ends when you delete the content, subject to the retention windows in the Privacy Policy.
You warrant that you own or have the necessary rights to every piece of Customer Content you upload, and that the content does not infringe the intellectual property, privacy, or other rights of any third party.
6. Our intellectual property
The Service’s software, design, trademarks, and documentation remain the exclusive property of KSKILL INTEGRA SDN BHD. Nothing in these terms transfers those rights to you. Feedback you send us may be used without attribution or compensation to improve the Service.
7. Prohibited use
You must not use the Service in a way that breaches our Acceptable Use Policy. Breach of the AUP is a material breach of these terms and can result in immediate account suspension.
8. Third-party services
The Service integrates with third-party providers (identity, payments, AI, storage, video, email). Use of those services is subject to their own terms; KSKILL is not responsible for their performance or availability. The current list of processors is in the DPA.
9. Cancellation and termination
You may cancel a subscription at any time from the workspace billing page; cancellation takes effect at the end of the current billing period. KSKILL may suspend or terminate your access for material breach of these terms or the AUP, or for non-payment, after 14 days notice (or immediately for security or legal reasons). On termination we will make a data export available for 30 days, after which the account is deleted subject to the retention rules in the Privacy Policy.
10. Warranty disclaimer
The Service is provided “as is” and “as available”. KSKILL disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by Malaysian law. We do not warrant that the Service will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, KSKILL’s aggregate liability arising out of or relating to the Service is capped at the fees you paid in the twelve (12) months preceding the event giving rise to the claim. KSKILL is not liable for indirect, incidental, consequential, special, or exemplary damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility.
12. Indemnification
You will defend, indemnify, and hold KSKILL harmless from third-party claims arising out of (a) your Customer Content, (b) your breach of these terms or the AUP, or (c) your infringement of any third-party right. We will notify you promptly of any such claim and let you control the defence, provided you use counsel reasonably acceptable to us.
13. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, epidemics, government action, or the failure of third-party networks or infrastructure.
14. Modifications
We may change these terms from time to time. Material changes are announced by email to every admin account at least 30 days in advance, and continued use after they take effect is acceptance of the new terms. If you object to a change, you may cancel your subscription before the effective date and receive a pro-rata refund for the unused portion.
15. Governing law and disputes
These terms are governed by the laws of Malaysia, without regard to conflict-of-law principles. Any dispute arising out of or relating to these terms or the Service is subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia. Nothing in this clause prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction.
16. Miscellaneous
- Entire agreement — these terms, together with the Privacy Policy, AUP, DPA (where applicable), and any signed order form, are the entire agreement between us.
- Severability — if any clause is held unenforceable, the remainder stays in effect.
- Assignment — you may not assign these terms without our written consent; KSKILL may assign to an affiliate or successor in a merger, acquisition, or sale of assets.
- Notices — legal notices to KSKILL must be sent to [email protected]. Notices to you may be sent to the email on your account.
